LLC in Qatar: ownership, capital and setup steps
An LLC in Qatar is formed under Law No. 11 of 2015: up to fifty partners, no minimum capital, 100% foreign ownership in most sectors, and a short MOCI file.
You have a contract, a client or a product ready for Doha, and now you need a company to hold it. The structure to weigh first is the limited liability company, and whether it fits depends on your owners, your activity and your paperwork.
An LLC in Qatar is a company formed under the Commercial Companies Law, Law No. 11 of 2015, in which each shareholder's liability is limited to their capital contribution. Settle whether the LLC suits you before you compare anything else.
What is an LLC in Qatar?

The LLC in Qatar is the most common company structure in the country, and one of the company types set out in the Commercial Companies Law, Law No. 11 of 2015.
Limited liability is the reason to choose it. In an LLC, the liability of the shareholders is limited to their capital contribution.
Limited liability is measured against your capital contribution, so keep an eye on what you sign and in whose name. When a lease, a facility or a supplier contract is put in front of you, check whether the company is the party to it or you are.
Who can own an LLC in Qatar
Ownership is the question that decides whether an LLC works for a foreign founder. It has two parts: how many owners the company can have, and how much of it foreign owners may hold.
The Ministry of Commerce and Industry (MOCI) sets the maximum for an LLC in Qatar at fifty partners. The minimum is less settled, because official guidance gives two different answers.

Foreign ownership under Law No. 1 of 2019
Invest Qatar sets out the position under the Foreign Investment Law, Law No. 1 of 2019, which provides for the establishment of 100% foreign-owned companies. The 100% foreign ownership law does not apply to banking and insurance, companies engaged in the exploitation of natural resources, commercial agencies, and any other sectors decided by the Council of Ministers.
The last exclusion is the one to watch. The Council of Ministers can decide further sectors, so treat the list as a starting point and check your specific activity against the current position.
If your activity sits close to one of these sectors, check it before you name foreign shareholders in any document. The exclusions turn on the activity.
Where official guidance differs
- Number of owners. MOCI allows a single owner, while Invest Qatar says an LLC needs at least two shareholders.
- Foreign ownership above 49%. MOCI's FAQ still describes a ministerial exception above 49%, while Invest Qatar describes 100% foreign ownership under Law No. 1 of 2019.
Official guidance differs on two ownership points, and we would not build a shareholding on either without confirming it for the activity in question.
Confirm both for your activity with MOCI before the incorporation document is prepared, so the document reflects an ownership split you can actually hold.

How much capital an LLC needs
MOCI sets no minimum or maximum capital when establishing a company, so the founders of an LLC in Qatar decide the capital figure.
The capital figure also sets the measure of each shareholder's liability, because shareholder liability in an LLC is limited to the capital contribution. Choose the number with both uses in mind.
The exception: holding companies
A holding company is the exception to the no-minimum position. MOCI requires a holding company to take the form of one of the company types, with a capital of QAR 10,000,000. If your plan calls for a holding company, budget for that figure from the start.
Government fees are a separate cost from capital. Confirm the fees and processing times for registering the company for your case when you apply.
LLC in Qatar, step by step
- Settle the owners and the activity. Two choices drive the rest of the file: who the founders are, and what the company will do. The founders determine which identity documents you gather. The activity determines whether an authority's approval is needed and whether the foreign ownership exclusions apply.
- Reserve the trade name. The trade name is reserved with the Commercial Registration and Licenses Department. Reserve it before you draft anything that carries the company's name. Have more than one name ready. If your first choice cannot be reserved, a shortlist keeps the rest of the file moving.
- Gather founder identity documents. Every founder's proof of identity goes into the file. Collect it for each founder before the incorporation document is prepared. A founder that is itself a company (a moral person) needs one more document: a letter from the company, where a founder is a moral person.
- Appoint the authorised signatory. The file needs a copy of the authorised signatory's proof of identity. Decide who signs for the company at this stage, because that person's identity document goes into the file. If a representative makes the application, a duly certified legal procuration is required. Arrange it before the representative starts work on the application.
- Complete and certify the incorporation document. The incorporation document application is available online on the MOCI website, www.moci.gov.qa, and the document must be certified by the Ministry of Justice. Check the document against your notes from step one before it goes for certification. The founders, the shares and the activity should match what you decided.
- Obtain activity approval where it applies. Some activities need approval from the authority concerned in the activity. Not every LLC needs one. Where your activity does, the approval belongs in the file alongside the documents above. Which activities need approval, and from which authority, depends on the activity itself. Confirm it at step one so the approval is in progress while you prepare everything else.

The MOCI file, as a checklist
- Founders' proof of identity
- Incorporation document application, certified by the Ministry of Justice
- Copy of the authorised signatory's proof of identity
- Duly certified legal procuration, if a representative applies
- Letter from the company, if a founder is a moral person
- Approval of the authority concerned, for activities that need it
- Trade name reserved from the Commercial Registration and Licenses Department
